These Terms of Service describe your rights and responsibilities when using Nutrition Reference Pro. Please read them carefully.

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the Nutrition Reference Pro service ("Service") provided by Integrated Nutrition Technologies, LLC, a Missouri company, doing business as "Nutrition Reference Pro" ("Nutrition Reference Pro", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility & Accounts

The Service is intended for use by clinics, care teams, and licensed health professionals. You must provide accurate registration information and promptly update it as needed. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.

3. Subscription, Billing, and No Refunds

The Service is offered on a subscription basis. Subscriptions automatically renew at the end of each billing cycle unless you cancel in accordance with the cancellation process provided within the Service or applicable billing portal. Nutrition Reference Pro does not provide free trials unless expressly offered in writing, and all fees are non-refundable. This includes fees for partial billing periods, unused features, or cancellations that occur before the end of a paid period. You remain responsible for all charges incurred until your cancellation takes effect.

4. Use of the Service & Clinical Responsibility

Nutrition Reference Pro provides educational and informational tools to support the creation of nutrition handouts and protocols. The Service does not provide medical, nutrition, or health advice, does not replace a clinician's professional judgment, and does not substitute for individualized medical nutrition therapy. You are solely responsible for verifying the accuracy, suitability, and completeness of any handout before using it with a patient, for making clinical decisions, and for complying with all applicable laws and professional standards. Refer patients to a registered dietitian or qualified health professional when appropriate.

5. Protected Health Information (PHI) and Data Use

Nutrition Reference Pro is not designed or intended to store or process protected health information ("PHI") as defined by HIPAA. We are not a HIPAA Business Associate and do not sign Business Associate Agreements. If you enter PHI into the Service, including free-text fields or custom content, you do so at your own risk and remain fully responsible for compliance with all privacy, security, and health information regulations. The Service is designed for generating handouts for printing, not for storing persistent patient records. You remain responsible for how you store, transmit, or manage any handouts or data after they are generated.

6. Intellectual Property

The Service, including all software, interfaces, content templates, and branding, is owned by Nutrition Reference Pro and its licensors. During your valid subscription you receive a limited, non-exclusive, non-transferable license to use the Service solely for your internal clinical and business purposes. Except for distributing patient-facing handouts in the ordinary course of practice, you may not copy, distribute, resell, or create derivative works from the Service or any of its content.

7. Acceptable Use

You agree not to use the Service for any illegal purpose, to violate the rights of others, or to interfere with the Service's operation. You may not attempt to reverse engineer, hack, scrape, bulk export, or resell any portion of the Service. Nutrition Reference Pro reserves the right to investigate potential violations and to suspend or terminate access where appropriate.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT, OR FITNESS FOR A PARTICULAR PURPOSE. THE SERVICE IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY MEDICAL CONDITION. IT IS NOT A SUBSTITUTE FOR INDIVIDUALIZED ASSESSMENT OR CARE BY QUALIFIED HEALTH PROFESSIONALS.

9. Limitation of Liability

To the fullest extent permitted by law, Nutrition Reference Pro will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits or revenues. Our total liability for any claim arising out of or relating to these Terms or the Service is limited to the fees you paid to Nutrition Reference Pro in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nutrition Reference Pro, its owners, officers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your breach of these Terms, or your misuse of content—including any misuse involving PHI or clinical decisions.

11. Termination

We may suspend or terminate your account at any time for breach of these Terms or misuse of the Service. Upon termination you will lose access to the Service, and no refunds will be provided. Any provisions that by their nature should survive termination (including payment obligations, indemnification, and limitations of liability) will continue to apply.

12. Changes to the Service and Terms

We may modify or discontinue the Service at any time and may update these Terms from time to time. Changes will be posted on this page or communicated through the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law and Venue

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Missouri, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Missouri.
